The structure
Sanctuary controls the Sanctuary operating venture. David and Amanda keep the platform, app, MTS playbook, and team responsible for running it.
- Operator-controlled club venture: Sanctuary side at 51%.
- Platform side: David + Amanda license the system and provide the team/services.
- One pilot first: Sanctuary before any wider club rollout.
- No transfer of #Open baggage into the operating venture.
The non-negotiables
These are not gotchas. They are what make the structure durable instead of just exciting.
- Amanda owns the community, safety, and screening standard.
- Jake, Max, and Yusuf stay with the platform/team lane.
- Related-party roles are defined, supervised, and scoped.
- Budget, dilution, sale, shutdown, and safety changes need both sides aligned.
The current working economics
The old company cost stack is not the proposal. This is the stripped operating core.
The next conversation
I do not think we should try to paper the whole thing in one pass. I think we should align on the operating model first.
Can we talk through this as a Sanctuary-first pilot: you control the club venture, Amanda and I operate/license the platform, and we set the governance so both sides are protected?
