Sanctuary + #Open
A cleaner way to build this together.
Control for the operator. A durable platform for the business. Clear economics for the people doing the work.
Why this is worth doing now
You built the culture, room, procedures, and trust that make the model work in real life.
The app community is still hard to move because it is not just software. It is identity, habits, trust, and event intent.
Procedures plus local culture plus always-on community is the formula. Alone, each half is weaker than it should be.
The structure
The legal form can be the path counsel says is cleanest: a recap, a NewCo, or another contribution/license structure. The business point is simple: control and funding travel together.
- Operator-controlled venture: Trevor + James at 51%.
- Platform/community side: David + Amanda at 49%.
- 51% control carries 51% of the monthly funding responsibility.
- David + Amanda contribute the app, MTS playbook, community base, and team capability in the cleanest papered form.
- One pilot first: Sanctuary before any wider club rollout.
- Old #Open debt cleanup stays separate from the operating venture.
The non-negotiables
These are not gotchas. They are what make the structure durable instead of just exciting.
- Amanda owns the community, safety, and screening standard.
- Jake, Max, and Yusuf stay with the platform/team lane.
- Related-party roles are defined, supervised, and scoped.
- Budget, dilution, sale, shutdown, and safety changes need both sides aligned.
The current working economics
The old company cost stack is not the proposal. This is the stripped operating core.
The next conversation
I do not think we should try to paper the whole thing in one pass. I think we should align on the operating model first.
Can we talk through this as a Sanctuary-first pilot: you and James control and fund 51%, Amanda and I contribute and fund 49%, old debt cleanup stays separate, and we set the governance so both sides are protected?
Prepared for discussion between David Epstein, Amanda Wilson, Trevor Black, and James Swenson. Not a legal document, offer, or commitment. Numbers are current working figures and should be confirmed before papering.
