The structure

The legal form can be the path counsel says is cleanest: a recap, a NewCo, or another contribution/license structure. The business point is simple: control and funding travel together.

  • Operator-controlled venture: Trevor + James at 51%.
  • Platform/community side: David + Amanda at 49%.
  • 51% control carries 51% of the monthly funding responsibility.
  • David + Amanda contribute the app, MTS playbook, community base, and team capability in the cleanest papered form.
  • One pilot first: Sanctuary before any wider club rollout.
  • Old #Open debt cleanup stays separate from the operating venture.

The non-negotiables

These are not gotchas. They are what make the structure durable instead of just exciting.

  • Amanda owns the community, safety, and screening standard.
  • Jake, Max, and Yusuf stay with the platform/team lane.
  • Related-party roles are defined, supervised, and scoped.
  • Budget, dilution, sale, shutdown, and safety changes need both sides aligned.
